Terms of Use

Effective date: October 31, 2026
Last updated: October 31, 2026

These Terms of Use ("Terms") govern your access to and use of the Imaginix™ Summit QR Code Landing Page and the 12-Point AI Employee Readiness Check (together, the "Summit Tools"). The Summit Tools are provided by Imaginix™ Consulting, LLC ("Imaginix," "we," "us," or "our"). By accessing or using the Summit Tools, you agree to these Terms. If you do not agree, do not use the Summit Tools.

1. Eligibility and Authority

You must be at least 18 years old to use the Summit Tools. If you use the Summit Tools on behalf of an organization, you represent that you have authority to accept these Terms for that organization.

2. Purpose of the Summit Tools

The Summit Tools provide an educational, self-guided assessment of selected AI employee governance-readiness practices. They are intended to help you identify questions, gaps, and potential next actions involving ownership, authority, escalation, evidence, review, and related operational controls.

The Summit Tools are not a production governance platform, monitoring service, audit, certification, legal opinion, cybersecurity assessment, compliance determination, or guarantee of safe or successful AI performance.

3. No Professional Advice

Content and results provided through the Summit Tools are general educational information. They are not legal, regulatory, privacy, cybersecurity, financial, employment, clinical, or other professional advice. They do not create an attorney-client, consultant-client, fiduciary, or other professional relationship with Imaginix.

You are responsible for obtaining advice from qualified professionals when your circumstances require it.

4. Assessment Results

Your result depends on the selections you make and the scoring rules used by the Readiness Check. A score or classification is a readiness indicator only. It does not establish that an AI system is compliant, secure, accurate, fair, reliable, suitable for deployment, or safe for any particular use.

You remain responsible for independently evaluating your AI systems, validating information, establishing appropriate controls, assigning accountable human owners, and making deployment and operating decisions.

5. Sensitive and Regulated Information

Do not enter customer records, patient information, protected health information, confidential prompts, passwords, credentials, financial account information, government identifiers, trade secrets, regulated information, or other sensitive data into the Summit Tools.

The Readiness Check requires only general descriptions of an AI employee's role and governance posture. Imaginix is not responsible for information you submit in violation of these Terms.

6. Permitted Use

Subject to these Terms, Imaginix grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Summit Tools for your own internal business education and evaluation.

You may print or save your own results for internal use. You may not represent an assessment result as an Imaginix certification, legal conclusion, security approval, or independent audit opinion.

7. Prohibited Use

You may not:

  • use the Summit Tools for unlawful, fraudulent, deceptive, or harmful activity;
  • attempt to gain unauthorized access to the Summit Tools or related systems;
  • interfere with, disrupt, overload, probe, scan, or test the vulnerability of the Summit Tools without written authorization;
  • introduce malware, malicious code, or automated activity that impairs the service;
  • copy, modify, reverse engineer, scrape, republish, sell, license, or commercially exploit the Summit Tools except as permitted by law or written agreement;
  • remove trademarks, copyright notices, or other proprietary notices; or
  • use the Summit Tools to make high-impact decisions about another person without independent review and any safeguards required by law.

8. Intellectual Property

The Summit Tools, including their design, text, scoring structure, graphics, software, names, trademarks, and other content, are owned by or licensed to Imaginix and are protected by applicable intellectual property laws. Imaginix™ and related names and marks are trademarks of Imaginix™ Consulting, LLC. No rights are granted except the limited right to use the Summit Tools under these Terms.

9. Third-Party Services and Links

The Summit Tools may rely on or link to third-party hosting, infrastructure, websites, or services. Imaginix does not control and is not responsible for third-party content, availability, security, terms, or privacy practices. Your use of third-party services may be governed by separate terms.

10. Availability and Changes

The Summit Tools are provided as a limited educational resource. We may modify, suspend, restrict, or discontinue any part of the Summit Tools at any time. We do not guarantee uninterrupted access, continued availability, or error-free operation.

11. Disclaimer of Warranties

To the fullest extent permitted by law, the Summit Tools are provided "as is" and "as available." Imaginix disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, reliability, availability, and results.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

12. Limitation of Liability

To the fullest extent permitted by law, Imaginix and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities, or business interruption arising from or related to the Summit Tools.

To the fullest extent permitted by law, Imaginix's total liability for any claim arising from or related to the Summit Tools will not exceed the greater of the amount you paid to use the Summit Tools or one hundred U.S. dollars. The Summit Tools are currently provided without charge.

Some jurisdictions do not allow certain liability limitations, so some limitations may not apply to you.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought in a state or federal court with jurisdiction in Dallas County, Texas, unless applicable law requires otherwise.

Before filing a claim, you agree to contact Imaginix and make a reasonable effort to resolve the dispute informally.

14. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be enforced to the greatest extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later.

15. Changes to These Terms

We may update these Terms when the Summit Tools or applicable requirements change. The updated Terms will show a revised "Last updated" date. Your continued use of the Summit Tools after updated Terms become effective constitutes acceptance of the updated Terms.
